Terms of Sale — $BALIA Presale

⚠️ This is a preliminary draft prepared ahead of the presale launch. It has not yet been reviewed by outside legal counsel and is subject to change before the presale opens. It supplements, and does not replace, the general Terms of Service and Disclaimer.
1. Scope
These Terms of Sale govern your purchase of $BALIA tokens during the Genesis Distribution presale ("the Presale") described in the BALIA OS Whitepaper. By connecting a wallet and submitting a purchase, you agree to be bound by these terms in addition to the general Terms of Service and Disclaimer.
2. No Identity Verification (No KYC)
BALIA OS does not perform identity verification (KYC) for Presale participants. Screening is instead performed on your IP address, on the wallet address you use to pay, and on the nationality you declare yourself at the time of purchase, as described in Section 3 below. Your declared nationality is not verified against any document. By participating, you understand that the absence of identity verification places greater weight on the representations you make in Section 4.
3. Automated Screening
Purchases are automatically screened and may be blocked, without further explanation, based on:
- The IP address used to access the Presale, including VPN and proxy detection
- The geographic location associated with your IP address, for the sanctioned countries and regions listed in Section 4(a)
- The nationality you declare at the time of purchase, separately, for Thailand — a non-sanctions, business-policy restriction described in Section 4(c). This is based on your own declaration and is not verified; the accuracy of that declaration is your responsibility. Purchases are refused outright where Thai nationality is declared, and no alternative verification route is offered
- The wallet address used to pay, checked against published sanctions-related digital asset address lists
These automated checks are a risk-management measure, not a guarantee. They do not identify every restricted person or wallet, and passing them does not by itself establish your eligibility to participate — the representations in Section 4 remain your responsibility.
4. Your Representations and Warranties
By participating in the Presale, you represent and warrant that:
- (a) Sanctioned jurisdictions. You are not located in, ordinarily resident in, or accessing the Presale from Cuba, Iran, North Korea, Syria, the Crimea region (including Sevastopol), or the so-called Donetsk People's Republic or Luhansk People's Republic regions of Ukraine's Donetsk and Luhansk oblasts ("Covered Regions").
- (b) Restricted persons. You are not identified on the U.S. Treasury OFAC Specially Designated Nationals and Blocked Persons List, or any equivalent sanctions list maintained by the jurisdiction in which you reside, and you are not owned or controlled by, or acting on behalf of, any such person.
- (c) Restricted nationality (non-sanctions). You are not a national of Thailand, and the nationality you declared at the time of purchase is true and accurate. This restriction is a BALIA OS business policy decision and is separate from, and not based on, any sanctions designation of Thailand. It is applied on the basis of the nationality you declare — not your IP address — so declaring a nationality falsely in order to purchase is a material breach of these terms and engages Section 5.
- (d) Acting for yourself. You are purchasing $BALIA for your own account and not on behalf of, or for the benefit of, any other person.
- (e) Wallet control. The wallet address you use to pay and receive tokens is one you exclusively control, and the funds used are your own or funds you are authorized to use.
- (f) Legal capacity and local law. You have the legal capacity to enter into these terms, and your participation does not violate any law or regulation applicable to you in your jurisdiction.
- (g) Understanding of risk. You understand that $BALIA is a digital asset with no guaranteed value, that presale purchases are final and non-refundable, and that you have read the Whitepaper's Legal Disclaimer.
These representations are made at the time of each purchase. Making a false representation is a material breach of these terms.
5. Consequences of a False Representation
If BALIA OS determines, at any time, that a representation in Section 4 was false when made, BALIA OS may, at its discretion and without prior notice, decline to deliver tokens, freeze the associated allocation, or take other action it reasonably believes necessary to comply with applicable law. This does not limit any other remedy available to BALIA OS.
6. Irreversibility
Presale payments are made on the Solana blockchain and are irreversible once confirmed. Automated screening under Section 3 occurs after your payment is already on-chain; a blocked purchase does not entitle you to a refund through the blockchain itself, though BALIA OS will not treat a blocked purchase as valid or deliver tokens for it.
7. Governing Language
These Terms of Sale are published in English only. The English version shall govern. No translated version is provided, and none should be relied upon.
8. Relationship to Other Documents
These Terms of Sale supplement the general Terms of Service and Disclaimer, which continue to apply. In the event of a direct conflict specific to the Presale, these Terms of Sale govern.
